FSN Capital to Acquire Zenitel in Strategic Security Sector Investment

November 5, 2026

Northern European private equity investor FSN Capital has agreed to acquire critical communications specialist Zenitel from Belgian investment company 3d investors. With annual revenues exceeding €128 million and customers in more than 115 countries, Zenitel is an established international provider of intercom, public address and voice alarm systems. The transaction highlights growing investment interest in integrated communications technologies for critical infrastructure and safety-sensitive environments.

FSN Capital VI has signed an agreement to acquire Zenitel from its current owner, 3d investors, according to an announcement issued on 3 November 2026. The proposed acquisition is intended to support Zenitel’s international expansion, technology development and long-term growth strategy. Financial terms have not been disclosed, and completion remains subject to regulatory approvals and customary closing conditions.

The transaction brings together a Northern European private equity investor with an established manufacturer of communication systems used in environments where operational reliability and effective emergency response are essential. Zenitel’s portfolio covers IP-based intercom technology, public address systems, general and voice alarm solutions (PAGA/PAVA), IP speakers and integrated communication platforms. Its products are deployed across maritime operations, energy infrastructure, industrial facilities, transport networks, hospitals and high-security buildings.

Headquartered in Zellik, Belgium, with operational headquarters in Norway and the United Kingdom, Zenitel has a corporate history extending back approximately 125 years. In 2025, the company generated revenues exceeding €128 million and employed approximately 450 people. According to information released by FSN Capital, Zenitel serves more than 2,000 customers in over 115 countries and has achieved profitable annual growth of more than 10% over the past five years.

Critical Communications Gain Strategic Importance

The planned acquisition comes as critical communications technologies become increasingly integrated with wider security and operational management systems. In industrial environments, transport infrastructure and essential services, reliable voice communication is a fundamental requirement for coordinating personnel, managing incidents and supporting emergency procedures.

Modern intercom and public address systems are therefore evolving beyond standalone communication devices. IP-based architectures allow them to interact with access control, video surveillance, building management and other operational systems. This convergence can improve coordination and situational awareness, but it also increases the importance of interoperability, network resilience and cybersecurity.

For operators of critical infrastructure, the challenge extends beyond ensuring that messages can be transmitted. Communication systems must remain dependable under demanding environmental and operational conditions, while maintaining appropriate levels of availability, intelligibility and protection against unauthorised access. Their integration into broader security architectures also requires clear procedures for incident escalation, maintenance and system recovery.

These considerations are particularly relevant across Europe, where operators and technology suppliers face increasing expectations concerning the resilience of essential services, the security of connected products and the continuity of critical operations. The applicable requirements depend on the sector, system function and regulatory framework; compliance cannot be established through product specifications alone.

Zenitel’s technology development reflects this broader market direction. At the Detektor International Awards, held in conjunction with the Skydd 2026 security exhibition in Stockholm on 20 October, the company’s VAIA platform received an Innovative Achievement Award in the IoT & Security Solutions category. The compact public address and voice alarm platform combines system control, digital signal processing, amplification and other functions within a single unit.

FSN Capital Targets International Expansion and Innovation

Zenitel CEO Koen Claerbout described FSN Capital as a partner capable of supporting the company’s next development phase. According to the management team, the priorities include accelerating innovation, expanding international market coverage and strengthening the company’s ability to serve customers worldwide. The existing leadership intends to remain involved in implementing the strategy.

Ulrik Smith, Co-Managing Partner at FSN Capital Partners, emphasised Zenitel’s development under the ownership of 3d investors and the alignment between the company’s management and its prospective new investor. FSN Capital intends to build on Zenitel’s established technical expertise, product portfolio and international customer relationships rather than presenting the transaction as a fundamental change in the company’s business model.

Eirik H. Wabø, Principal at FSN Capital Partners, also identified increasingly demanding safety regulations and cybersecurity requirements as important factors supporting further investment. The investor sees opportunities to expand technology development and international reach while supporting customers throughout the operational lifecycle of installed communication systems.

The companies have not announced specific investment commitments, acquisition-related restructuring measures or a detailed timetable for future expansion. The extent to which the proposed ownership change will influence Zenitel’s product development and regional market presence therefore remains to be seen.

FSN Capital Expands Its Security Industry Portfolio

Established in 1999, FSN Capital Partners is a Northern European private equity firm advising funds with more than €4 billion in assets under management. The firm employs more than 100 people across offices in Oslo, Stockholm, Copenhagen and Munich. Its investment strategy focuses on acquiring controlling interests in growth-oriented businesses and supporting their operational and international development.

The planned Zenitel acquisition builds on FSN Capital’s previous investments in safety- and security-related businesses, including Firesafe, Polytech, Saferoad and Seriline. In 2022, FSN Capital became the majority owner of Swedish identity and access management specialist Seriline, strengthening its exposure to technologies associated with physical security and identity management.

Zenitel would add another dimension to this investment portfolio, with a particular focus on critical voice communication, emergency notification and integrated communication infrastructure. Although the individual companies operate in different markets, they serve sectors where technical reliability, regulatory requirements and long-term system availability influence purchasing and investment decisions.

For the wider European security industry, the transaction illustrates the continued attractiveness of specialised technology providers serving critical infrastructure and safety-sensitive applications. Such businesses operate in markets where installed systems often have long service lives and where integration, maintenance and technological compatibility can be as important as the initial equipment purchase.

Outlook: Reliability and Integration Remain Decisive

The proposed acquisition of Zenitel reflects the growing strategic importance of critical communications within integrated security infrastructures. As organisations connect voice communication, alarm management, access control and operational monitoring, the reliability of these systems increasingly depends on the resilience of the underlying network architecture and the effectiveness of associated procedures.

For system integrators, operators and security consultants across Europe, the development reinforces the need to evaluate communication technologies as components of a wider security and business continuity strategy rather than as isolated installations.

FSN Capital’s investment could provide Zenitel with additional resources for international expansion and product innovation. However, the commercial and technological consequences will depend on the strategy implemented after the transaction closes. For now, the agreement represents a significant proposed ownership change in the international market for critical communications, with regulatory approval still outstanding.
